Senior U.S. Law Corporate Attorney – Asset Protection & Business Structuring
Compensation: $15–$30 USD/hour, negotiable for exceptional qualifications.
About the Opportunity:
We are a U.S.-based construction company undertaking a significant corporate restructuring into a sophisticated multi-entity organization. Much of the proposed structure has already been developed, and we are seeking an exceptional legal professional to critically evaluate, refine, and help bring it to completion. This is a senior advisory position requiring genuine expertise in U.S. corporate law, asset protection, business structuring, and corporate governance. An extensive background in U.S. federal tax law would also be particularly valuable.
We are not seeking a general legal assistant, paralegal, or document preparer. We need a highly experienced professional capable of applying independent legal judgment, identifying structural weaknesses, and developing sophisticated solutions. The restructuring must balance two equally important objectives: supporting the operational, financial, and strategic needs of the business while maximizing asset protection for its owner. We need an attorney who understands how corporate structures function in practice, not merely on paper, and can develop solutions that protect personal assets without unnecessarily compromising business efficiency, flexibility, or growth.
Key Responsibilities:
- Review and evaluate our proposed multi-entity corporate structure, including holding companies, operating entities, and related organizational arrangements.
- Evaluate the proposed structure from both the business's operational perspective and the owner's personal asset-protection interests, identifying potential conflicts and recommending practical solutions.
- Assess liability segregation, asset protection, ownership structures, and corporate governance.
- Evaluate and refine operating agreements, intercompany arrangements, management agreements, and related legal documentation.
- Identify legal, financial, operational, and potential tax vulnerabilities in the proposed structure.
- Recommend improvements that strengthen asset protection, organizational efficiency, and long-term scalability.
- Draft documents as necessary to support the company interests.
- Help develop an actionable implementation plan and coordinate the finalization of the structure.
- Potentially assume ongoing responsibility for corporate legal affairs, governance, compliance, and organizational development.
Required Qualifications:
10+ years of substantial professional experience focused on U.S. corporate and business law.
Demonstrated expertise in sophisticated U.S. business structures, LLCs, holding companies, and multi-entity organizations.
Significant experience with asset protection, liability segregation, corporate governance, and contractual risk management.
Direct involvement in evaluating, designing, or implementing corporate structures—not merely preparing documents under another attorney's direction.
Exceptional analytical ability, sound business judgment, and the confidence to challenge existing assumptions and recommend better solutions.
Excellent written and spoken English.
Highly Preferred:
Admission to a U.S. state bar, particularly Texas.
Substantial knowledge of U.S. federal and state business taxation.
Experience with construction, real estate, closely held businesses, or complex privately owned organizations.
Experience advising business owners on restructuring, succession planning, and long-term asset protection.
Engagement Structure:
This will begin as a paid contract engagement, focused on completing our current corporate restructuring. For the right individual, this could evolve into a substantial ongoing leadership position overseeing corporate governance, legal affairs, and business operations across our organization.
We value independent thinking, commercial sophistication, and practical solutions. The successful candidate must be capable of operating with minimal supervision and delivering substantive results rather than simply identifying issues for others to resolve.
Application Requirements:
Please answer the following questions:
1. U.S. Corporate Experience: Describe your professional background in U.S. corporate law, including your years of experience, jurisdictions, legal qualifications, and the nature of your responsibilities.
2. Multi-Entity Structuring & Asset Protection: Describe a complex U.S. business structure you personally helped design, evaluate, or implement. Explain the organizational structure, the asset-protection or liability issues involved, and your specific contribution.
3. Tax & Strategic Advisory Experience: What experience do you have with U.S. federal and state tax considerations in corporate restructuring? Provide an example of how your legal or tax analysis materially influenced a business-structuring decision.
Please include your CV, your hourly rate, and your availability.
We are interested in exceptional candidates with demonstrable U.S. legal expertise. Applications describing only general administrative, paralegal, or legal-support experience will not be considered.
