Position Overview
We are seeking a highly skilled and detail-oriented Legal Assistant with a strong legal background and direct experience in a California law firm. This role has a strong focus on US business entity formation, and we are specifically looking for candidates who have handled the full formation process, from incorporation through bylaws, operating agreements, and ongoing corporate documents. The ideal candidate holds a law degree, is a currently practicing attorney, or brings extensive hands-on paralegal experience in a legal setting.
Business Entity Formation Experience (Strongly Preferred)
We give priority to candidates with previous hands-on experience forming and maintaining US business entities, including:
- Limited Liability Companies (LLCs), both single-member and multi-member
- Professional Corporations (PCs) and Professional LLCs
- C Corporations and S Corporations, including S corporation elections
- Other business entities such as partnerships, LLPs, and nonprofit corporations
Relevant experience includes preparing and filing articles of incorporation or organization, drafting bylaws and operating agreements, preparing initial resolutions and organizational minutes, issuing stock or membership interests, obtaining EINs, preparing Statements of Information, and maintaining corporate records and annual compliance. California entity formation experience is preferred, but experience forming entities in other states will also be considered.
Required Qualifications
- Law degree (JD or foreign law degree) OR currently practicing attorney OR minimum 4 years of substantive paralegal -experience in a California law firm — required
- Paralegal certificate from an ABA-approved program preferred
- Minimum 4 years of paralegal experience within a California law firm
- Hands-on experience with Lawmatics and Clio Manage
- Strong written and verbal communication skills
- Highly organized with the ability to manage multiple cases and deadlines simultaneously
- Reliable internet connection and home office setup for remote work
Key Responsibilities
- Prepare and file formation documents for LLCs, professional corporations, C corporations, S corporations, and other business entities with the California Secretary of State and other state agencies as needed.
- Prepare and organize corporate documents (articles, bylaws, operating agreements, resolutions, governance consents, stock or membership certificates) under applicable California and state requirements.
- Draft first-pass legal documents (bylaws, resolutions, agreements, contracts) from firm templates for attorney review and revision.
- Coordinate post-formation steps such as EIN applications, S corporation elections, Statements of Information, and initial compliance filings.
- Compile and organize supporting materials for matters (comparables, cost documentation, disclosure exhibits, regulatory filings) as requested by attorneys.
- Track and organize compliance materials, regulatory filings, ownership records, and deadline alerts relevant to client entities.
- Conduct factual research on entity status, licensing records, regulatory filings, and public records, subject to attorney review.
- Conduct client intake interviews and gather case information under attorney supervision.
- Communicate professionally with clients, courts, opposing counsel, and regulatory agencies.
- Manage and update case files, deadlines, and client records in practice-management systems (Lawmatics, Clio Manage, etc.).
- File documents with California courts and regulatory agencies, including e-filing systems, and coordinate execution, notarization, and e-signatures on legal documents.
- Draft, review, and proofread legal documents and correspondence; ensure accurate documentation of all case activities and maintain contemporaneous time records.
