Part-Time Legal Counsel – California Law / U.S. Business

US Power | Remote – Philippines | Part-Time

US Power, a California-based solar, roofing, and battery company, is seeking an experienced Legal Counsel / Legal Consultant based in the Philippines to provide ongoing legal support to our executive and operations team.

We are looking for someone who is highly knowledgeable in California business and employment law, with strong experience reviewing contracts, handling business disputes, drafting legal correspondence, and helping management identify and mitigate legal risk.

California Bar admission is strongly preferred. We will also consider a Philippine-licensed attorney with substantial professional experience working with California law, U.S. companies, or California attorneys.

Responsibilities
Review, draft, and revise contracts, agreements, demand letters, settlement communications, and other business documents
Provide guidance regarding California business and commercial matters
Assist with contract disputes, collections disputes, arbitration, and pre-litigation matters
Review independent contractor and employment-related agreements and policies
Research California statutes, regulations, and case law
Assist management in preparing documentation and evidence for disputes
Review correspondence before it is sent in sensitive legal matters
Coordinate with outside California litigation counsel when formal representation is required
Help US Power proactively identify legal risks before issues escalate
Maintain strict confidentiality regarding company, employee, contractor, and customer matters

Qualifications:
Licensed attorney
California Bar admission is highly preferred
If not California-licensed, must demonstrate substantial knowledge of and experience working with California/U.S. law
Experience with business law, contracts, commercial disputes, employment law, or litigation support
Strong legal research and drafting skills
Excellent written and spoken English
Comfortable working directly with company ownership and senior management
Highly organized, responsive, practical, and detail-oriented
Experience supporting a U.S.-based company or U.S. law firm is strongly preferred
Must understand the limits of providing California legal advice or representation if not admitted to practice in California
Schedule

Part-Time | Remote – Philippines

Must have availability during agreed-upon Pacific Time business hours for meetings with US Power management. The position is intended to provide ongoing legal support rather than full-time employment.

Compensation

Competitive monthly compensation based on experience, qualifications, California Bar status, and availability.
