JOB OVERVIEW

We are seeking an experienced U.S. business attorney to assist with the formation and structuring of a new veteran-led company operating in the contract furniture, procurement, public sector, healthcare, and government contracting space.

We are specifically looking for counsel with experience in:

Manager-managed LLC operating agreements
SBA / SDVOSB compliance and governance
Government contracting and GovCon business structures
Minority owner protections
Distribution and compensation structures
Capital contribution and reimbursement mechanics
Buy-sell provisions and governance frameworks
Related-party and operational support agreements

The company is intended to pursue opportunities involving:

SDVOSB participation
DVBE participation
Federal, healthcare, higher education, and public sector procurement

We already have a developed business framework and are seeking counsel to:

Review and pressure-test the proposed structure
Ensure alignment with SDVOSB compliance requirements
Draft or refine the operating agreement
Draft supporting agreements as needed
Advise on governance, distributions, and operational structure
Help create a durable long-term ownership and operating framework

Current structure considerations include:

SDVOSB-compliant ownership and governance
Manager-managed LLC structure
Project-based compensation and distributions
Capital contribution and reimbursement mechanics
Governance and voting frameworks
Operational support and infrastructure relationships
Minority owner protections
Buy-sell and long-term partnership provisions

We are not looking for:

Generic LLC filing services
Estate planning attorneys
Litigation-only counsel
Basic template document providers

Please respond with:

Relevant experience with SDVOSB, SBA, or government contracting structures
Examples of similar operating agreements or ownership structures you have worked on
Your state(s) of licensure
